1. Acceptance of Terms
By accessing or using AdSilo ("the Service"), operated by JW Agency ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
AdSilo is an AI-powered platform for generating, managing, and editing B-roll video content and ad templates for home services businesses. The Service includes AI-generated media, video editing tools, and template management features.
3. Access & Accounts
Access to AdSilo is by invitation only. You must be invited by an authorized administrator to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. AI-Generated Content
Content generated by AdSilo's AI tools (including images, video clips, and text) is provided "as-is." While we strive for quality and accuracy, AI-generated content may contain inaccuracies, artifacts, or unexpected results. You are solely responsible for reviewing all AI-generated content before use in any commercial, advertising, or public-facing context.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Generate content that is defamatory, obscene, or infringes on third-party rights
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Share your account credentials with unauthorized parties
- Resell or redistribute AI-generated content as a standalone stock media service
- Use automated bots or scrapers to access the Service
6. Intellectual Property
AI-generated content created through AdSilo is licensed to you for use in your business operations, advertising, and marketing materials. We retain no ownership claim over content you generate. However, the AdSilo platform, software, and underlying AI models remain our intellectual property.
7. Billing & Credits
Paid plans are billed monthly. Credits are allocated per billing cycle and do not roll over unless otherwise stated. We reserve the right to modify pricing with 30 days' notice. Refunds are handled on a case-by-case basis.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for your specific needs.
9. Limitation of Liability
To the maximum extent permitted by law, JW Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless JW Agency, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your content, or your violation of these Terms.
11. Termination
We may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.
12. Changes to Terms
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
